1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of services, programs, digital products, and content offered by Erica Noll Consulting (“we,” “us,” or “our”), including all coaching, consulting, speaking, workshops, and online materials. By visiting our website, purchasing services, or engaging with our content in any way, you agree to these Terms. If you do not agree, please discontinue use.

2. Services Provided

We provide leadership coaching, consulting, keynote speaking, workshops, digital products, and related professional services. Specific deliverables, scope of work, pricing, and timelines will be outlined in individual coaching agreements, proposals, statements of work, or product descriptions.

3. Quotes, Proposals, and Agreements

Quotes and proposals are valid for 30 days unless otherwise noted. Acceptance constitutes agreement to these Terms. Any requested changes to scope, deliverables, or scheduling after acceptance may result in revised pricing or extended timelines. All coaching agreements, custom consulting scopes, and speaking contracts will specify details unique to that engagement.

4. Payments and Billing

Payment terms vary by service and are outlined in your agreement or checkout notice. Unless otherwise stated:

• Invoices are payable within 14 days
• Late or overdue payments may result in delayed services
• Installment plans must be completed in full

We reserve the right to suspend or discontinue services if payments are not received.

5. Client Responsibilities

You agree to provide timely access to information, materials, scheduling availability, and feedback needed for us to deliver services. You are responsible for the accuracy and completeness of all materials submitted. Delays in providing required information may extend timelines and do not alter payment obligations.

Coaching and consulting outcomes depend on your participation, engagement, and implementation. We do not guarantee specific results.

6. Cancellations, Rescheduling, and Refunds

• Coaching sessions require 24 hours’ notice to reschedule
• Missed sessions without notice may be forfeited
• Speaking engagements, workshops, and consulting services follow the cancellation terms outlined in their individual agreements

Digital products, downloads, and templates are nonrefundable due to their immediate access nature.

7. Revisions and Scope Changes

Consulting and project-based engagements include a specified number of revision rounds. Additional revisions, major scope changes, or new requests outside the agreed scope may incur additional fees at our standard rate.

8. Intellectual Property

All content on ericanoll.com, including digital products, worksheets, frameworks, tools, and coaching materials, is protected by intellectual property laws.

Unless otherwise stated:

• You receive a non-transferable license for personal or internal organizational use
• You may not reproduce, sell, distribute, or share materials without written permission
• We retain ownership of all coaching frameworks, processes, methodologies, and creative content

We may reference anonymized client success stories or testimonials in marketing materials with consent.

9. Confidentiality

We maintain strict confidentiality regarding all client conversations, materials, and personal information, except where disclosure is required by law or necessary to deliver contracted services. Group programs and cohorts operate under shared confidentiality agreements among participants.

10. Third-Party Tools and Resources

We may recommend or use third-party platforms, assessments, software, or resources. You are responsible for any associated subscriptions or fees. We are not liable for issues arising from third-party tools, including downtime, data loss, or service disruptions.

11. Warranties, Disclaimers, and Limitations of Liability

All services are provided “as is” and without guarantees of specific outcomes. Coaching results vary based on individual effort and organizational factors.

To the fullest extent permitted by law:

• We disclaim all warranties, express or implied
• We are not responsible for any business losses, revenue impacts, data loss, or indirect damages
• Our total liability is limited to the fees paid for the specific service in question

Coaching is not therapy, legal advice, financial counseling, or mental-health treatment.

12. Termination

Either party may terminate a coaching or consulting engagement with written notice as outlined in the specific agreement.

Upon termination:

• You must pay for all services delivered up to the termination date
• Any unused prepaid sessions may be handled according to that program’s policy
• We may, at our discretion, deliver partially completed work depending on the scope

13. Website Use

By using ericanoll.com, you agree not to engage in unauthorized access, copying, reverse engineering, scraping, or misuse of site content. We may suspend or terminate access for violations.

14. Governing Law

These Terms are governed by the laws of the State of Texas. Any disputes arising hereunder will be resolved exclusively in the courts located in Harris County, Texas.

15. Updates to Terms

We may update or revise these Terms at any time. The most current version will always be posted on this site. Continued use of our services indicates acceptance of the updated Terms.
